David Biscoe Bingham is a native of Central Arkansas and focuses his practice on tax, business tax, trusts and estate planning. He represents individuals and couples in estate planning, from a straightforward will to a complex generation-skipping trust, and transmits his clients’ assets in the most tax-efficient manner. In addition, David has experience representing business entities, entrepreneurs and ownership groups in structuring their business matters in the most tax-efficient manner, as well as assisting non-profits in qualifying for tax-exempt status.

Experience

  • Assists individual clients with the implementation of comprehensive estate plans (powers of attorney, wills, revocable trusts) including drafting and implementation of Crummey trusts, dynasty trusts, ILITs and charitable trusts, and funding of trusts once created.
  • Counsels entrepreneurs on the formation and structuring of LLCs, partnerships, corporations, and tiered organizational structures.
  • Assists entrepreneurs and businesses with mergers and acquisitions of existing business entities, structuring tax-efficient sales of closely-held businesses, structuring of business operations to achieve greater tax savings, and corporate stock restructurings and transfers.
  • Assists real estate clients with structuring of tax-efficient real estate sales, acquisitions, and transfers including title curative actions, drafting and analysis of commercial leases, and mortgages.
  • Assists non-profit entities with formation and tax-exempt qualification along with advice regarding operations to maintain non-profit status.
  • Counsels clients in matters of probate and trust administration from initial petition to discharge of personal representative, administration and division of trusts and judicial and non-judicial modifications of trusts.
  • Assists clients with general tax matters including advice and analysis regarding estate, gift, and income tax issues.
  • Advises clients on preparation of tax returns, general compensation, retirement plans, and stock option treatment issues.
  • Assists clients with premarital and post-marital agreement drafting and representation.
