Lana Freeman advises clients on insurance and regulatory matters, including all aspects of licensing, contract review, and administrative processes. She provides counseling and preparation of regulatory filings, company formations, admissions, reorganizations, and mergers and acquisitions of regulated entities. As a former General Counsel for the Texas Senate Committee on State Affairs, Lana was responsible for policy issues on matters affecting regulated entities and she uses this experience to serve her clients.


  • Counsels insurance companies, insurance producers, third party administrators, and other insurance related entities on a range of corporate, licensing, and regulatory matters.
  • Advises insurers and related entities nationwide on complex transactions such as mergers and acquisitions, conversions, reorganizations, re-domestications, and expansions.
  • Assists clients with holding company issues and filings, including acquisition of control statements (Form A), annual registration statements and amendments (Form B), prior notice of transaction statements (Form D), and other holding company needs.
  • Provides counsel, project planning and management, negotiation and drafting of forms and documents, preparation of regulatory filings, including filing and obtaining regulatory approvals.
  • Counsels clients on program business, and related contracts, product development and form/rate filings.
  • Advises clients on policy and legal issues before state insurance regulators, including the National Association of Insurance Commissioners (NAIC).
  • Manages large multi-state research projects for clients regarding insurance regulatory and compliance issues.
  • Assists in formations and conversions of captive insurance companies.
